Messaging Terms and Conditions

These Messaging Terms and Conditions (“Messaging Terms”) govern SMS and MMS messages sent by or on behalf of Fractal Helix Studios LLC DBA Neural Helix, a Michigan limited liability company (“Neural Helix,” “we,” “us,” or “our”). They supplement our General Terms of Service and Privacy Policy.
By affirmatively opting in to NHX Assistant Alerts, you agree to these Messaging Terms. SMS consent is optional and separate from any general terms or service agreement.
Key SMS Disclosures
Consent is optional. Message frequency varies. Message and data rates may apply. Reply STOP to unsubscribe and HELP for assistance. Carriers are not liable for delayed or undelivered messages.
1. Program Name and Description
The program name is NHX Assistant Alerts. The program sends recurring operational and account-related messages regarding NHX Assistant, including gateway outages, software or fatal errors, service recovery, authorization issues and required service reauthorization, billing reminders or status, and possible service suspension.
This is an operational and customer-care messaging program. Consent to this program does not authorize unrelated promotional or third-party marketing messages.
2. How You Opt In
You may opt in through the NHX Assistant Alerts signup form by entering your mobile number and affirmatively selecting the SMS-consent checkbox. The checkbox is unchecked by default and is not required to submit or finish signup.
Providing a telephone number, accepting general terms, purchasing services, or maintaining a customer relationship does not by itself provide SMS consent. We retain a record of the disclosure shown and whether the optional checkbox was selected.
3. Your Consent and Authority
By opting in, you authorize Neural Helix and its communications service providers to send the messages described at the point of consent to the mobile number you supplied, including through automated technology. You represent that you are the subscriber or customary user of that number and are authorized to provide consent for it.
Your consent applies only to NHX Assistant Alerts and the message categories disclosed when you opted in. Consent is optional and is not a condition of purchasing goods or services, accepting general terms, receiving non-SMS service, or completing signup. Keep your number current and notify us if the number is reassigned or no longer belongs to you.
4. Message Frequency
Message frequency varies according to account, authorization, billing, and service activity. Some periods may have no messages; an active operational issue or approaching service event may generate additional messages.
5. Message and Data Charges
Neural Helix does not charge a separate fee merely to receive program text messages, but message and data rates may apply under your wireless plan. Your carrier’s rates, roaming charges, taxes, and other fees are your responsibility. Contact your wireless carrier for details.
6. How to Opt Out
Reply STOP to any Neural Helix program message to cancel recurring text messages to that number. Recognized equivalent opt-out keywords may also be honored where supported. After an opt-out request, we may send one final confirmation message. No further recurring program messages will be sent unless you later complete a valid opt-in again.
You may also request removal by emailing contact@neuralhelix.net. Include the affected mobile number and enough information to identify the program. Processing may take a reasonable period where an email request must be matched to messaging records; replying STOP is the fastest automated method.

8. Privacy and Mobile Data
Our Privacy Policy explains our information practices. We do not sell or rent mobile numbers, SMS opt-in data, or messaging consent records.
Neural Helix does not share mobile information or SMS opt-in consent with third parties or affiliates for marketing or promotional purposes. Information may be shared with service providers solely as necessary to deliver and support the requested messaging service. Those providers may include telecommunications delivery, consent-management, fraud-prevention, customer-service, infrastructure, and technical-support vendors acting only as necessary to support the program. All other use-case categories exclude text messaging originator opt-in data and consent; that information will not be shared with third parties.
9. Delivery and Availability
Message delivery depends on wireless carriers, networks, devices, service providers, internet connectivity, and other systems outside our control. Messages may be delayed, filtered, duplicated, or not delivered. Carriers are not liable for delayed or undelivered messages. Supported carriers and program availability may change without notice.
10. Eligibility
You must be at least 18 years old or the age of legal majority in your jurisdiction and capable of agreeing to these Messaging Terms. If you participate on behalf of an organization, you represent that you are authorized to do so. The program is intended for United States telephone numbers unless otherwise stated.
11. Acceptable Use
You may not use the program to:
- Send unlawful, fraudulent, abusive, threatening, harassing, deceptive, or infringing content
- Impersonate another person or misrepresent your authority over a telephone number
- Attempt to compromise, overload, probe, or disrupt messaging systems
- Transmit malware, sensitive credentials without authorization, or content prohibited by carrier or applicable law
We may block or suspend messaging access reasonably believed to present legal, security, abuse, or carrier-compliance risk.
12. Program Changes or Termination
We may change, suspend, or discontinue a messaging program or its features at any time for operational, legal, security, carrier, or business reasons. We may update these Messaging Terms by posting a revised version and changing the “Last Updated” date. Where required by law, we will provide additional notice or obtain renewed consent.
13. Disclaimers
To the maximum extent permitted by law, the messaging program is provided “as is” and “as available.” Neural Helix does not warrant uninterrupted, timely, secure, accurate, or error-free messaging. Text messages should not be used as the sole channel for emergencies, time-critical safety notices, or matters where delayed delivery could cause harm.
14. Limitation of Liability
To the fullest extent permitted by law, Neural Helix and its owners, operators, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for losses arising from delayed, failed, misdirected, filtered, or unauthorized messages, carrier actions, service outages, or your failure to update a reassigned number.
Where liability cannot be excluded, Neural Helix’s aggregate liability arising from a messaging program will be limited as stated in the General Terms of Service, subject to rights that cannot lawfully be limited.
15. Governing Law and Relationship to Other Terms
These Messaging Terms are governed by the laws of the State of Michigan, United States, without regard to conflict-of-law principles, except where mandatory law provides otherwise. Our General Terms of Service also apply. If these Messaging Terms conflict with the General Terms solely regarding the messaging program, these Messaging Terms control for that issue.
